Terms and Conditions
Interpretation
“The Company” means Safe Alpha Squad Ltd (SAS LTD), a company registered in England and Wales (Company Number: [Insert Number]), with registered address at [Insert Address].
“The Client” means the individual, company, or organization instructing the Company to carry out Works.
“The Contract” means these Terms and Conditions together with the Quotation, Specification, and any subsequent written variations.
“Works” means all building, renovation, construction, and associated services to be provided by the Company as detailed in the Quotation.
Quotations and Pricing
All quotations are valid for 30 days from the date of issue unless otherwise stated in writing.
Quotations are based upon the specification provided at the time and include:
- Labour and materials as specified
- VAT at the current rate (where applicable)
- Waste removal and skip hire (where specified)
- Statutory fees for building control (where included)
The Company reserves the right to revise quotations if:
- The Client requests variations to the specification
- Unforeseen site conditions are discovered (asbestos, structural defects, ground issues)
- Material costs increase significantly between quotation and order
- Statutory fees or regulations change
Fixed price quotations apply only to the specific works described. Any additional works requested will be quoted separately and agreed in writing before commencement.
Acceptance and Formation of Contract
Acceptance of a quotation must be in writing (email is acceptable) and accompanied by any required deposit payment.
The Contract becomes binding only when the Client receives written confirmation of acceptance from the Company and the deposit has cleared.
The Company reserves the right to refuse any instruction without providing a reason.
Client's Obligations
The Client warrants that they are the legal owner of the property or have obtained all necessary consents from the legal owner (including mortgage lender permissions where required) for the Works to proceed.
The Client shall:
- Provide clear access to the property during agreed working hours
- Obtain necessary planning permissions or party wall agreements
- Inform insurers and mortgage providers where required
- Ensure the property is free from hazardous materials (e.g., asbestos)
- Provide adequate facilities including toilet access and electricity/water supply
Failure to meet these obligations may result in delays, additional costs, or suspension of works.
Payment Terms
Deposit
A deposit of 20–30% is required upon acceptance to secure materials and booking. Deposits are non-refundable once materials are ordered or work has commenced.
Stage Payments
For larger projects, stage payments will be agreed in advance and linked to completion milestones. Invoices are payable within 7 days.
Final Payment
The final balance is due upon practical completion and before handover of keys.
Late Payment
The Company reserves the right to:
- Suspend works if payment is overdue by more than 7 days
- Charge statutory interest under the Late Payment of Commercial Debts Act 1998
- Recover reasonable debt collection costs
Project Commencement and Duration
Start dates provided are estimates and subject to material availability, weather conditions, approvals, and deposit clearance.
The Company will endeavor to complete works within the estimated timeframe but cannot guarantee completion dates due to factors beyond our control.
Variations and Changes
Any variation to the agreed works must be requested in writing and agreed before implementation.

Site Rules and Conduct
Working Hours
Standard working hours are 8:00am to 5:00pm Monday to Friday and 8:00am to 1:00pm Saturday where agreed.
Site Safety
- Do not enter work areas without permission
- Keep children and vulnerable adults away from site
- Inform the Company of safety concerns
Materials and Goods
Materials ordered specifically for the project remain the property of the Company until full payment is received.
If the Client supplies materials, they must ensure they meet required specifications and regulations.
Delays and Force Majeure
The Company shall not be liable for delays caused by:
- Extreme weather
- Material shortages
- Government actions
- Public health emergencies
- Industrial action
- Unforeseen site conditions
Warranties and Guarantees
The Company warrants that works will be carried out with reasonable care and skill and in accordance with UK building regulations.
Workmanship Guarantee
All workmanship is guaranteed for 12 months from practical completion.
Manufacturer Warranties
Materials carry manufacturer warranties which will be assigned to the Client upon final payment.
Inspection and Snagging
Upon completion, a joint inspection will identify any defects or incomplete items.
A snagging list will be agreed and completed within a reasonable timeframe.
Complaints Procedure
If the Client has concerns they should contact the Project Manager in writing.
The Company will acknowledge within 3 working days and propose a resolution within 10 working days.
Limitation of Liability
The Company's total liability shall not exceed the Contract sum except in cases of death or personal injury caused by negligence.
The Company shall not be liable for:
- Indirect or consequential losses
- Damage to belongings left on site
- Losses from events beyond reasonable control
- Defects in client-supplied materials
Termination
The Client may terminate the contract in writing but remains liable for work completed, materials ordered, and reasonable costs incurred.
The Company may terminate if payments are overdue, the Client obstructs works, or site conditions become unsafe.
Retention of Title
Until full payment is received, all materials remain the property of the Company.
Governing Law
These Terms and Conditions are governed by the laws of England and Wales and subject to the jurisdiction of the courts of England and Wales.
